Organizational structure
A. The founding Authority:
The Authority that signed the founding statement and consists of a minimum of three members and whose
validity is:
- 1. Appointment of members of the administrative Authority.
- 2. Make suggestions and discuss reports.
- 3. Supervising the work of the administrative Authority.
B. General Authority:
It consists of members of the organization, including the founding Authority and the administrative
Authority.
C. The powers of the General Authority:
- 1. Identify a regular meeting and an unusual meeting when needed.
- 2. Supervising the budget and approving the budget.
- 3. Issuing the necessary decisions for the organization's work and annual reports.
- 4. Discussion and policy-making of the organization.
D. The administrative Authority:
It is an Authority that is appointed by the General Authority and has (3) members.
E. The powers of the administrative Authority:
- 1. Distribution of committees and appointment of committee managers.
- 2. Supervising the organization's activities.
- 3. Implementing policy and programme on projects that are consistent with the objectives
of the organization.
F. The powers of the head of the administrative Authority (President of Organization):
- 1. Chairs the meetings of the administrative Authority and calls an emergency meeting.
- 2. Representing the organization with governmental and non-governmental organizations
and institutions.
- 3. Supervising the work of the organization and the related committees.
- 4. Signing correspondences and instruments.
- 5. Open a bank account for the Organization.
G. The Powers of the Vice President of the Administrative Board:
Replaces the President in his absence
H. Detailed powers for committees or departments:
- 1. The Administrative Committee, which organizes administrative affairs from the issuer
and ward, documents activities and receives applications for affiliation and printing. etc.
- 2. The Finance Committee is working to organize the financial records and submit them to
the administrative Authority for approval.
- 3. The Cultural Committee organizes cultural courses, festivals, conferences and
lectures.
- 4. The Committee on Relations and Information, which organizes relations with civil
society organizations and institutions and issues cultural bulletins. Or any committee or mechanism that
the organization considers to organize its work.
I. Decision-making mechanism:
- 1. The decisions of the General Authority are issued by a simple majority.
- 2. The decisions of the administrative Authority are issued by a simple majority.
J. The mechanism of meetings:
- 1. The General Authority meets its annual regular meeting and achieves a quorum of 50%+1
of its members and in the event of incomplete quorum, the meeting is postponed until the following week
and the meeting is considered to be held no matter how many attendees.
- 2. The General Authority meets an emergency meeting in the event of a written request by
the President of the Organization, by two thirds of the members of the General Authority or by two
thirds of the board members.
- 3. Members of the Administrative Authority meet at their regular meeting every month.
- 4. The emergency board meeting is held at the invitation of the President or at the
request of two members.
- 5. The quorum is achieved in the presence of half of the members of the Administrative
Authority.
K. The recruitment mechanism:
- 1. Members of the Administrative Authority are appointed by the Founding Authority.
- 2. The Founding Authority distributes positions to the members of the Administrative
Authority appointed by them.
- 3. The number of members of the Administrative Authority consists of (3) three members
for a period of (4) four years.
- 4. In the event of a vacancy in the seats of a member of the Administrative Authority,
the Founding Authority appoints a replacement for the vacant member.
- 5. In the event of the interruption or death of all founders, the general Authority
shall be empowered to appoint members of the Administrative Authority.
L. The mechanism for modifying the Bylaw Governance:
The mechanism for amending the rules of Bylaw Governance is the power of the Administrative Authority to
vote by a simple majority.
M. Determining the entity within the organization that appoints the affiliates and determines their
wages:
The power to appoint associates and employees, determine their wages and dispense with them is the
prerogative of the head of the Administrative Authority.
